C2 Wire Solutions – Standard Terms and Conditions of Sale
1. Pricing
All prices are quoted in U.S. Dollars (USD) unless otherwise stated. Prices are valid for the period specified on the quotation and are subject to change thereafter.
2. Custom Manufactured Products
Unless otherwise stated, all cable assemblies, wire harnesses, and related products are manufactured to customer specifications. As custom products, all orders are Non-Cancelable and Non-Returnable (NCNR) once accepted by C2 Wire Solutions.
3. Payment Terms
Approved customer credit terms shall apply. Customers without approved credit terms must remit payment in advance unless otherwise agreed in writing.
Credit applications may be submitted with appropriate banking and trade references for review. C2 Wire Solutions accepts Visa, MasterCard, and American Express.
4. Shipping Terms
Unless otherwise agreed in writing, products are quoted FCA (Free Carrier), Souderton, Pennsylvania, USA (Incoterms® 2020).
Ownership, risk of loss, and responsibility for shipment transfer to the Buyer upon delivery to the carrier. If shipment insurance is required, the Buyer must specify this on the purchase order.
5. Shipping Method
Orders will be shipped according to the shipping instructions provided on the purchase order.
If no shipping instructions are provided, C2 Wire Solutions reserves the right to ship using the carrier and service deemed most appropriate. Shipping and handling charges will be added to the invoice.
6. Lead Times
Quoted lead times are estimates based on the scheduled ship date After Receipt of Order (ARO). Transit time is not included in quoted lead times.
While every effort is made to meet scheduled delivery dates, C2 Wire Solutions is not liable for delays resulting from supplier shortages, transportation delays, force majeure events, or circumstances beyond its reasonable control.
7. Schedule Changes
Production schedules are established to efficiently serve all customers.
· Requests to delay a scheduled shipment must be submitted at least 28 calendar days before the acknowledged ship date.
· Shipment delays may be granted at the sole discretion of C2 Wire Solutions.
· Expedited delivery requests are subject to material availability and production capacity and are not effective until confirmed in writing by C2 Wire Solutions.
8. Partial Shipments
Partial shipments may be made when practical or at the Buyer’s request. Any additional freight costs resulting from partial shipments are the responsibility of the Buyer.
9. Customer Portals
C2 Wire Solutions may utilize customer online portals at its discretion. If alternate commercially acceptable methods of communication are available, C2 Wire Solutions reserves the right to use those methods.
Where customer portals are required for handling classified, export-controlled, or otherwise sensitive information, C2 Wire Solutions will use commercially reasonable efforts to maintain information security. If a portal is determined to present a security risk, C2 Wire Solutions may suspend its use and notify the customer.
10. Inspection and Acceptance
The Buyer shall inspect products promptly upon receipt and notify C2 Wire Solutions in writing of any shortages or nonconformances within 10 business days of delivery. Failure to provide written notice within this period constitutes acceptance of the products.
11. Warranty
C2 Wire Solutions warrants that products manufactured by C2 Wire Solutions will conform to the agreed specifications at the time of shipment.
This warranty is limited to the repair or replacement of defective products, or credit at C2 Wire Solutions’ sole discretion. The warranty does not cover misuse, improper installation, modification, abuse, or normal wear.
12. Limitation of Liability
In no event shall C2 Wire Solutions be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, production downtime, or loss of business.
C2 Wire Solutions’ total liability arising from any order shall not exceed the purchase price of the products giving rise to the claim.
13. Force Majeure
C2 Wire Solutions shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, material shortages, transportation disruptions, governmental actions, pandemics, or utility interruptions.
14. Governing Terms
Acceptance of any purchase order is expressly conditioned upon these Standard Terms and Conditions of Sale.
Unless specifically agreed to in writing by an authorized representative of C2 Wire Solutions, these Terms and Conditions shall prevail over any conflicting or additional terms contained in the Buyer’s purchase order or other documents.
